1. Introduction

Welcome to Aeethera, an artificial intelligence platform owned, operated, and maintained by Elyvaris Limited ("Elyvaris", "we", "our", or "us").

Aeethera provides artificial intelligence services including AI assistants, conversational chatbots, knowledge bases, document processing, workflow automation, website widgets, APIs, integrations, analytics, and related software services (collectively referred to as the "Services").

These Terms of Service ("Terms") govern your access to and use of Aeethera, including our website, dashboard, APIs, embedded widgets, applications, documentation, and all related services.

Please read these Terms carefully before creating an account, accessing the Services, or using any part of the Aeethera platform.

These Terms constitute a legally binding agreement between you (or the organization you represent) and Elyvaris Limited.

2. Acceptance of These Terms

By creating an account, accessing, browsing, purchasing, embedding, integrating, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional policies or guidelines referenced herein.

If you are using Aeethera on behalf of a company, organization, government agency, educational institution, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree with these Terms, you must immediately discontinue use of the Services.

Continued use of Aeethera constitutes your acceptance of any future modifications to these Terms where such modifications are communicated in accordance with Section 22.

3. Eligibility

To use Aeethera, you must have the legal capacity to enter into a binding contract under the laws applicable in your jurisdiction.

By using the Services, you represent and warrant that:

• You are at least the minimum legal age required in your jurisdiction.
• You possess the legal authority to accept these Terms.
• You are not prohibited from using the Services under applicable laws.
• Your use of Aeethera will comply with all applicable laws and regulations.
• If acting on behalf of an organization, you have authority to bind that organization.

Elyvaris Limited reserves the right to suspend or terminate accounts that do not satisfy these eligibility requirements.

4. Definitions

For purposes of these Terms, the following definitions apply:

• "Aeethera" means the artificial intelligence platform developed and operated by Elyvaris Limited.
• "Services" means all software, APIs, AI models, website widgets, dashboards, automation tools, knowledge bases, documentation, and related products provided through Aeethera.
• "User" means any individual or organization accessing or using the Services.
• "Account" means a registered Aeethera account.
• "Assistant" means any AI assistant, chatbot, or conversational agent created through Aeethera.
• "Knowledge Base" means uploaded documents, extracted information, embeddings, searchable indexes, connected external data, and related AI retrieval resources.
• "Content" includes text, documents, files, images, prompts, conversations, API requests, responses, and all other information submitted to or generated through the Services.
• "Credits" means usage credits used to access AI processing, document processing, embeddings, and other billable platform features.

5. Description of the Services

Aeethera provides a cloud-based artificial intelligence platform designed to help businesses, developers, organizations, and individuals build intelligent, AI-powered experiences.

Depending on your subscription and enabled features, the Services may include:

• AI-powered conversational assistants.
• Website chatbot widgets.
• Knowledge Base management.
• Document uploads and AI document analysis.
• OCR and text extraction.
• Semantic search and vector embeddings.
• Custom AI instructions.
• Workflow automation.
• API access.
• Analytics and reporting.
• AI-powered content generation.
• Third-party integrations.

Elyvaris Limited may modify, improve, replace, suspend, discontinue, or introduce new features at any time, with or without prior notice, provided that such modifications do not violate applicable law.

Certain Services may be offered as beta, preview, testing, or experimental features and may not function as expected.

6. User Accounts

Certain features of Aeethera require registration of an account.

When creating an account, you agree to:

• Provide accurate and complete registration information.
• Maintain current account information.
• Keep your password confidential.
• Protect API keys and authentication credentials.
• Immediately notify us of unauthorized account access.
• Accept responsibility for all activities occurring under your account.

You may not share accounts in a manner that violates your subscription, circumvent usage limits, impersonate another person, create fraudulent accounts, or attempt to gain unauthorized access to other users' accounts.

Elyvaris Limited reserves the right to suspend, restrict, or permanently terminate accounts that violate these Terms, engage in fraudulent activity, threaten platform security, or otherwise misuse the Services.

7. Subscription Plans & Credits

Aeethera may offer free, promotional, pay-as-you-go, subscription-based, enterprise, or other pricing plans. Features available to you depend on the subscription plan you select.

Certain platform functionality requires the use of AI credits ("Credits"). Credits are consumed whenever billable operations are performed, including but not limited to:

• AI conversations.
• Document uploads.
• Document extraction.
• Vector embedding generation.
• Knowledge Base indexing.
• Website analysis.
• API requests.
• Other billable AI operations.

Credit pricing, usage rates, subscription fees, promotional offers, and billing methods may change from time to time at the discretion of Elyvaris Limited.

Unless expressly stated otherwise, purchased credits are non-refundable, non-transferable, have no cash value, and may expire in accordance with your subscription plan or promotional terms.

Promotional credits, bonus credits, and free-tier credits may carry additional restrictions, including daily limits, expiration dates, or feature limitations.

Failure to maintain sufficient credits may result in temporary suspension of AI functionality until additional credits are purchased or renewed.

8. AI Services and Limitations

Aeethera utilizes artificial intelligence, machine learning, natural language processing, retrieval systems, and other automated technologies to generate responses, analyze documents, retrieve information, automate workflows, summarize content, and perform requested tasks.

AI-generated responses are probabilistic in nature and may occasionally contain inaccuracies, incomplete information, outdated information, misleading content, or fabricated information ("hallucinations").

Elyvaris Limited does not warrant or guarantee that AI-generated responses will always be accurate, complete, current, legally compliant, or suitable for any specific purpose.

Users remain solely responsible for reviewing, validating, editing, approving, and independently verifying all AI-generated outputs before relying upon them.

AI-generated responses should never be relied upon as a substitute for professional advice, including legal, medical, engineering, accounting, financial, tax, regulatory, or investment advice.

Where Aeethera integrates third-party AI providers, certain prompts, conversations, and uploaded content may be securely transmitted to those providers solely to perform requested AI tasks.

9. Acceptable Use Policy

You agree to use Aeethera responsibly, lawfully, ethically, and in accordance with these Terms.

You agree that you will not:

• Violate any applicable law or regulation.
• Upload illegal or unlawful content.
• Upload malicious software or viruses.
• Attempt to gain unauthorized access to our systems.
• Attempt to interfere with platform security.
• Reverse engineer the Services except where permitted by law.
• Probe, scan, or test system vulnerabilities without authorization.
• Circumvent credit limits or billing mechanisms.
• Create fraudulent accounts.
• Impersonate another person or organization.
• Use automated bots to abuse the platform.
• Generate spam or phishing content.
• Generate unlawful, defamatory, fraudulent, or deceptive content.
• Use Aeethera to infringe intellectual property rights.
• Attempt to overload or disrupt platform infrastructure.
• Resell, sublicense, or redistribute the Services without written authorization.

Elyvaris Limited reserves the right, at its sole discretion, to investigate suspected violations, suspend services, remove content, restrict access, or terminate accounts that violate these Terms.

10. User Content

You retain ownership of the documents, files, prompts, conversations, images, knowledge bases, and other content that you upload, submit, or create using Aeethera ("User Content").

By uploading User Content, you grant Elyvaris Limited a limited, worldwide, non-exclusive, royalty-free license solely to host, process, store, analyze, reproduce, transmit, and display such content as necessary to provide the Services.

You represent and warrant that:

• You own or have permission to upload the content.
• The content does not violate any law.
• The content does not infringe intellectual property rights.
• The content does not contain malicious software.
• You have all required permissions to process personal information contained within uploaded documents.

Elyvaris Limited does not claim ownership of your User Content.

We reserve the right to remove, disable, or refuse to process content that violates these Terms, applicable law, or poses a security risk.

11. Knowledge Base & Uploaded Content

Aeethera enables users to upload documents, websites, spreadsheets, PDFs, images, and other resources for AI-powered retrieval and question answering.

Uploaded information may undergo automated processing, including:

• Document extraction.
• Optical Character Recognition (OCR).
• Language detection.
• Chunking.
• Embedding generation.
• Semantic indexing.
• Metadata generation.
• Search optimization.

These processes exist solely to improve AI retrieval, search accuracy, and response quality.

You acknowledge that Aeethera cannot determine whether uploaded information is confidential, copyrighted, proprietary, or otherwise restricted.

You are solely responsible for ensuring that you possess all necessary rights, licenses, permissions, and legal authority before uploading any information.

12. Intellectual Property Rights

Except for User Content, all intellectual property rights relating to Aeethera, including but not limited to software, source code, user interfaces, documentation, graphics, logos, trademarks, service marks, workflows, AI systems, APIs, website design, and platform architecture, are owned by Elyvaris Limited or its licensors.

Nothing contained within these Terms transfers ownership of any intellectual property to you.

Subject to these Terms, Elyvaris Limited grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purposes.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, create derivative works from, or otherwise exploit any portion of the Services without prior written permission from Elyvaris Limited.

All trademarks, logos, product names, and branding associated with Aeethera remain the exclusive property of Elyvaris Limited unless otherwise stated.

11. Intellectual Property Rights

Unless otherwise stated, Aeethera, the Aeethera name, Elyvaris Limited branding, software, APIs, source code, interface designs, documentation, graphics, trademarks, logos, workflows, AI technologies, databases, and all related intellectual property are owned by or licensed to Elyvaris Limited and are protected under applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to these Terms, Elyvaris Limited grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business or personal purposes.

Except where expressly permitted by law or authorized by Elyvaris Limited in writing, you may not:

• Copy or reproduce the Services.
• Modify or create derivative works.
• Reverse engineer or decompile the platform.
• Sell or sublicense the Services.
• Remove copyright notices.
• Use our trademarks without permission.
• Attempt to extract proprietary algorithms.
• Republish documentation without authorization.

Your use of Aeethera does not grant you ownership of any intellectual property belonging to Elyvaris Limited.

12. Customer Content

You retain ownership of the documents, files, conversations, prompts, knowledge bases, configurations, and other content that you upload, submit, or generate through the Services ("Customer Content").

By uploading Customer Content, you grant Elyvaris Limited a limited license to host, process, store, transmit, index, analyze, reproduce, and display such content only as necessary to operate, maintain, improve, secure, and provide the Services.

You represent and warrant that:

• You own or have permission to upload the content.
• Your content does not violate any law.
• Your content does not infringe intellectual property rights.
• Your content does not violate privacy rights.
• Your content does not contain unlawful or malicious material.

Elyvaris Limited does not claim ownership of Customer Content.

13. Confidentiality

We understand that customers may upload confidential, proprietary, or commercially sensitive information into Aeethera.

Elyvaris Limited will use commercially reasonable efforts to protect such information from unauthorized disclosure and will access Customer Content only when necessary to:

• Provide requested Services.
• Maintain platform security.
• Investigate abuse.
• Comply with legal obligations.
• Respond to customer support requests.

Nothing in these Terms prevents Elyvaris Limited from complying with lawful governmental requests or court orders.

14. Third-Party Services

Aeethera integrates with third-party providers to deliver certain features including artificial intelligence, payment processing, cloud hosting, analytics, authentication, email delivery, and storage services.

Third-party services are governed by their own terms, privacy policies, and service commitments.

Elyvaris Limited is not responsible for outages, interruptions, data loss, pricing changes, or other actions of independent third-party providers.

15. Service Availability

While we strive to maintain high availability, Aeethera may occasionally experience maintenance, upgrades, emergency repairs, infrastructure failures, cyberattacks, network interruptions, or other events beyond our reasonable control.

We do not guarantee uninterrupted or error-free access to the Services.

Scheduled maintenance may occur without prior notice where necessary to preserve platform security, stability, or reliability.

16. Suspension and Termination

Elyvaris Limited may suspend, restrict, or terminate your account immediately where reasonably necessary to:

• Protect platform security.
• Prevent fraud.
• Prevent abuse.
• Comply with legal obligations.
• Investigate violations of these Terms.
• Protect other customers.

Upon termination, your right to use the Services ends immediately.

Certain information may remain in backups or archives where required by law, security, or legitimate business purposes.

17. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELYVARIS LIMITED DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, RELIABILITY, AVAILABILITY, AND UNINTERRUPTED OPERATION.

AI-generated responses may be inaccurate, incomplete, outdated, biased, or unsuitable for a particular purpose. Users are solely responsible for reviewing and verifying all AI-generated output.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Elyvaris Limited, its affiliates, officers, directors, employees, contractors, licensors, partners, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of the Services.

This limitation includes, without limitation, damages for:

• Loss of profits.
• Loss of revenue.
• Loss of business opportunities.
• Loss of customers.
• Loss of goodwill.
• Loss of data.
• Business interruption.
• System downtime.
• Data corruption.
• Security incidents.
• AI-generated inaccuracies.
• Unauthorized third-party access.

To the maximum extent permitted by applicable law, Elyvaris Limited's total aggregate liability arising from or relating to the Services shall not exceed the total amount actually paid by you to Elyvaris Limited for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability. Where such laws apply, portions of this section may not apply to you to the extent prohibited by applicable law.

19. Indemnification

You agree to defend, indemnify, and hold harmless Elyvaris Limited, its affiliates, officers, directors, employees, contractors, licensors, and partners from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and legal fees arising from or relating to:

• Your use of the Services.
• Your Customer Content.
• Your violation of these Terms.
• Your violation of applicable laws.
• Your infringement of intellectual property rights.
• Your violation of third-party rights.
• Your misuse of AI-generated content.
• Claims arising from your uploaded documents or data.

Elyvaris Limited reserves the right to assume the exclusive defense of any matter subject to indemnification at your expense.

20. Force Majeure

Elyvaris Limited shall not be liable for any delay, interruption, or failure to perform any obligation under these Terms where such delay or failure results from events beyond our reasonable control.

Such events may include:

• Natural disasters.
• Floods.
• Fire.
• Pandemics.
• War.
• Terrorist attacks.
• Civil unrest.
• Government actions.
• Internet failures.
• Cloud provider outages.
• Power failures.
• Cyberattacks.
• Labor disputes.
• Telecommunications failures.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Nothing in these Terms shall deprive consumers of any mandatory legal rights available under applicable law in their country of residence.

22. Dispute Resolution

We encourage users to contact Elyvaris Limited first to resolve any dispute informally before commencing legal proceedings.

If a dispute cannot be resolved through good-faith negotiations, the parties agree that such dispute shall be submitted to the competent courts of Nigeria unless otherwise required by applicable law.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where necessary to protect intellectual property, confidential information, or other legal rights.

23. Changes to These Terms

Elyvaris Limited may modify or update these Terms from time to time to reflect changes in applicable law, technology, security practices, business operations, or the Services.

Updated Terms will become effective upon publication on the Aeethera website or dashboard unless otherwise stated.

Continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.

If you do not agree with the revised Terms, you must discontinue use of the Services.

These Terms of Service, together with our Privacy Policy, Cookie Policy (where applicable), Acceptable Use Policy, and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and Elyvaris Limited regarding your use of Aeethera.

These Terms supersede all prior agreements, communications, representations, understandings, and proposals relating to the Services, whether oral or written.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Failure by Elyvaris Limited to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights available under applicable law.

These Terms are intended to provide a fair and transparent framework governing the use of Aeethera while protecting the rights and responsibilities of both users and Elyvaris Limited.
